TRANSCRIPT 🔗
00:00:06.559 --> 00:00:09.279
Welcome everybody to the Directed IRA podcast.
00:00:09.359 --> 00:00:16.879
My name is Mark Kohler, and I'm here with the author of the third edition of the Self-Directed IRA handbook, the black label.
00:00:17.039 --> 00:00:18.559
I mean, it's kind of it's got a black cover.
00:00:18.640 --> 00:00:19.199
That's pretty cool.
00:00:19.359 --> 00:00:20.480
I gotta say, I was impressed with that.
00:00:20.719 --> 00:00:22.000
It's kind of like the black card now.
00:00:22.079 --> 00:00:24.640
You know, we got there by the time of the third edition.
00:00:24.960 --> 00:00:26.480
So yeah.
00:00:26.640 --> 00:00:29.120
So, and you can you can too for only 20 bucks.
00:00:29.359 --> 00:00:30.320
Get over to Amazon.
00:00:30.559 --> 00:00:34.560
By the way, it is the number one new release in the real estate category.
00:00:34.719 --> 00:00:34.960
Wow.
00:00:35.359 --> 00:00:37.439
The number two bestseller in real estate.
00:00:37.520 --> 00:00:40.719
The the book ahead of me is Brandon Turner's Rental Property Investing.
00:00:40.880 --> 00:00:45.439
I am top 10 in personal finance and retirement already.
00:00:45.600 --> 00:00:45.840
Wow.
00:00:46.000 --> 00:00:49.359
Um, Dave Ramsey and Susie Orman are right next to me, wow above me.
00:00:49.520 --> 00:00:50.399
So pretty good company.
00:00:50.560 --> 00:00:50.719
Yeah.
00:00:50.960 --> 00:00:51.359
It's selling.
00:00:51.600 --> 00:00:52.159
Keep bragging.
00:00:52.320 --> 00:00:52.719
Just go.
00:00:52.880 --> 00:00:53.759
Yeah, just go.
00:00:54.399 --> 00:00:55.759
I'm gonna I want to give you some.
00:00:56.079 --> 00:00:57.920
You know, I actually can't on the buying it.
00:00:58.000 --> 00:00:58.079
Yeah.
00:00:58.399 --> 00:00:59.119
You won't be alone.
00:00:59.359 --> 00:01:02.719
You are an intimidating force to reckon with.
00:01:02.880 --> 00:01:14.239
And uh I I actually came to the studio earlier early today and like checked the chairs to make sure I had the chair that was not the lower chair so that I didn't sit like I was at a little kid's table.
00:01:14.400 --> 00:01:16.239
I was really nervous about that again.
00:01:16.480 --> 00:01:18.079
It's hard enough being with you.
00:01:18.239 --> 00:01:18.959
You're so smart.
00:01:19.120 --> 00:01:20.000
So wow.
00:01:20.159 --> 00:01:21.200
Yeah, this is good.
00:01:21.439 --> 00:01:22.159
Learned it all from Arc J.
00:01:22.319 --> 00:01:22.640
Kohler.
00:01:22.799 --> 00:01:23.760
Yeah, well, okay.
00:01:23.840 --> 00:01:27.120
Well, today's topic is such a common topic.
00:01:27.200 --> 00:01:28.799
Do you have a whole chapter dedicated to this?
00:01:28.959 --> 00:01:30.319
Yeah, there's a whole chapter in the book.
00:01:30.480 --> 00:01:30.879
Not to me.
00:01:31.200 --> 00:01:31.920
What chapter number is it?
00:01:32.239 --> 00:01:33.200
I think it's chapter 13.
00:01:33.359 --> 00:01:33.519
Okay.
00:01:33.599 --> 00:01:34.719
You think IRA LLC.
00:01:34.959 --> 00:01:35.040
Okay.
00:01:35.680 --> 00:01:37.040
I mean, we can verify that if we need to.
00:01:37.280 --> 00:01:38.879
I mean, you know, your ghostwriter, you know.
00:01:38.959 --> 00:01:39.120
Yeah.
00:01:41.120 --> 00:01:42.959
No, so you have a whole chapter on this too.
00:01:43.040 --> 00:01:49.280
It's the self-directed IRA LLC, the checkbook LLC, the IRA LLC.
00:01:49.439 --> 00:01:59.120
I mean, whatever the flavor of the month is with someone trying to get into this market that we control and dominate, they're going to call it a sexy name to get you hopped up on this strategy.
00:01:59.439 --> 00:02:01.519
And the reality is we know it back.
00:02:01.680 --> 00:02:02.640
We created this strategy.
00:02:02.799 --> 00:02:03.840
We know this backwards and forward.
00:02:04.000 --> 00:02:08.240
We've been doing this for over 25 years of setting up these IRA LLCs.
00:02:08.400 --> 00:02:11.199
It is a LLC owned by your IRA.
00:02:11.439 --> 00:02:12.719
Yeah, plain and simple.
00:02:12.879 --> 00:02:15.759
Like your IRA owns an LLC 100%.
00:02:16.639 --> 00:02:20.159
And we've talked a lot about real estate deals, Mark and I have done.
00:02:20.240 --> 00:02:24.879
We talked about it on this with the last podcast episode you probably listened to from the summit.
00:02:25.280 --> 00:02:36.159
And so what's happening in the IRA LC is rather than my IRA owning the rental and the IRA is on the contract to purchase the property, the IRA is receiving the rental income and it's going to your IRA custodian.
00:02:36.240 --> 00:02:39.439
Like it's the check or the ACH or wires come in here to direct it.
00:02:39.599 --> 00:02:43.360
You're authorizing us to pay expenses from the IRA, or maybe your property manager.
00:02:43.520 --> 00:02:44.080
You can do that.
00:02:44.159 --> 00:02:45.680
You can own real estate that way.
00:02:46.000 --> 00:02:47.919
Nine out of 10 clients don't, though.
00:02:48.080 --> 00:02:51.120
That's administratively a pain in the butt for you and us.
00:02:51.520 --> 00:02:59.759
So what most clients are doing, what I've done with my own account, we advise our clients at KQS Stories, our sister law firm, is have your IRE own an LLC 100%.
00:03:00.719 --> 00:03:02.000
You don't own the LLC at all.
00:03:02.240 --> 00:03:03.759
But I can't be the manager, can I?
00:03:04.000 --> 00:03:07.599
You can be the manager, but you'll have restrictions, which we'll get to.
00:03:07.919 --> 00:03:10.560
The manager of the LLC is like president of the corporation.
00:03:10.639 --> 00:03:12.479
So your IRA owns the LLC 100%.
00:03:12.960 --> 00:03:16.159
You're just the manager, which means you can sign checks.
00:03:16.240 --> 00:03:18.240
You're gonna have a bank account in the name of the LLC.
00:03:18.400 --> 00:03:20.319
We're gonna invest cash from the IRA and the LLC.
00:03:20.560 --> 00:03:25.280
You know, I have a perfect example of this that just happened two hours before I got here today.
00:03:25.520 --> 00:03:27.039
I called Chris Alvin.
00:03:27.280 --> 00:03:31.360
We're on the final steps of selling a rental property.
00:03:31.439 --> 00:03:38.719
I've had in my HSA LLC, because see IRA LLC, 401k LLC, HSA, same thing, everybody.
00:03:39.039 --> 00:03:42.400
So my LLC is on 100% by my HSA.
00:03:43.280 --> 00:03:45.199
And he said, I've got your buyer.
00:03:45.360 --> 00:03:46.080
He agreed.
00:03:46.560 --> 00:03:49.759
I'm gonna have him send over the real estate purchase contract.
00:03:50.000 --> 00:03:55.199
And I said, Great, just email it over and I'll sign it as the manager of the LLC.
00:03:55.680 --> 00:03:57.439
I didn't have to call directed IRA.
00:03:57.599 --> 00:03:59.919
I didn't have to call any custodian or trust company.
00:04:00.000 --> 00:04:02.000
I he was just like, Yeah, I'll send that right over to you.
00:04:02.080 --> 00:04:02.879
You're the manager of the LC.
00:04:03.039 --> 00:04:04.080
I'm like, yeah, I got it.
00:04:04.159 --> 00:04:05.360
He's like, all right, I'll send it over.
00:04:05.599 --> 00:04:10.240
As soon as I sign it, he's like, okay, they should be funding it um before the end of the month.
00:04:10.479 --> 00:04:15.759
And uh just get me the ACH information on that LLC and we'll send the money right over to that LLC.
00:04:15.919 --> 00:04:17.519
Boom, bada bang.
00:04:17.680 --> 00:04:18.959
That's a technical term, by the way.
00:04:19.199 --> 00:04:19.920
Yeah, yeah.
00:04:20.240 --> 00:04:26.879
So the nice thing is you're kind of put in what some people call checkbook control.
00:04:27.040 --> 00:04:32.560
That's sometimes a label thrown on this structure because you have authority for the bank account of the LLC.
00:04:32.639 --> 00:04:37.120
You literally would have a checking account to send wires, to receive income, to cut checks.
00:04:37.199 --> 00:04:42.800
You even have a debit card to pay a vendor or a handyman that worked on the property, whatever you need.
00:04:42.959 --> 00:04:44.879
So you're functioning and doing all that stuff.
00:04:45.040 --> 00:04:48.560
Think about buying a property that you're doing a rehab on, right?
00:04:48.639 --> 00:04:51.040
Or you're gonna even flip the property and not even hold it.
00:04:51.120 --> 00:04:52.639
There's a lot of stuff happening there.
00:04:52.720 --> 00:04:54.879
It's so much easier to just do it out of the LLC.
00:04:55.040 --> 00:04:56.959
Maybe you're buying property at auction.
00:04:57.120 --> 00:05:01.600
You don't want to wait for your IRA custodian to send a check or get a cashier's check.
00:05:01.680 --> 00:05:03.360
You can do it right out of the LLC.
00:05:03.600 --> 00:05:15.360
Yeah, and you're gonna hear, I want to get gonna cut through all the crap you might hear out there is your trust company or custodian or whatever the hell, wherever your IRA may be.
00:05:15.519 --> 00:05:21.839
And after you hear this, you're going to again change, fire them, open your account over here, because we got you.
00:05:22.160 --> 00:05:27.040
Is you might hear, well, you can't be the manager of that LLC.
00:05:27.120 --> 00:05:28.480
That's prohibited.
00:05:28.800 --> 00:05:29.439
Wrong.
00:05:29.680 --> 00:05:37.279
That is their internal policy because they are so afraid of doing something wrong and they're terrible at education, they go to the extreme and say, no, you can't do that.
00:05:37.360 --> 00:05:38.800
No, yeah, you can.
00:05:39.120 --> 00:05:40.319
And we got you.
00:05:40.399 --> 00:05:41.759
We know how to set up the LLC.
00:05:41.920 --> 00:05:45.439
We do it here at the law firm, our sister company to directed IRA.
00:05:45.519 --> 00:05:46.800
So it's all done right.
00:05:47.040 --> 00:05:51.120
And you can be the manager of that LLC, and it is not prohibited.
00:05:51.279 --> 00:05:54.319
So do not listen to anybody that says you can't.
00:05:54.480 --> 00:05:54.720
Yeah.
00:05:54.879 --> 00:05:55.519
You can.
00:05:55.680 --> 00:06:11.120
And we'll tell you what you can't do, but the one thing you can do is be the manager, get the LLC set up, get the bank account opened, make sure the directed IRA coordinates the account number and how much money you're going to put in the LLC, and we'll we'll help do that whole process very affordably.
00:06:11.279 --> 00:06:11.600
Yeah.
00:06:11.759 --> 00:06:21.680
And I think even some of these old-timer companies in the space that are former broker dealers that do self-directed IRAs that can own real estate, they pretty much all let you do an IRA LC now.
00:06:21.839 --> 00:06:25.920
So there's only a couple left that are still holding on, like, oh, you can't do this.
00:06:26.160 --> 00:06:27.199
So it's been out there.
00:06:27.279 --> 00:06:28.160
There's cases on it.
00:06:28.240 --> 00:06:30.639
There's been some IRS kind of guidance on it.
00:06:30.720 --> 00:06:32.079
It's all in the book, of course.
00:06:32.240 --> 00:06:34.079
And and we advise you at the law firm.
00:06:34.160 --> 00:06:38.240
Like the the set cost to set up an IRL C where your IRA owns at 100% is$1,200.
00:06:38.639 --> 00:06:39.839
Your IRA can pay for that.
00:06:39.920 --> 00:06:48.000
You could personally pay for it however you want, but you're going to get an attorney setting this up, advising you, giving you a memo on how it's set up properly and how to maintain a property.
00:06:55.680 --> 00:06:57.839
I don't have attorney client privilege with them, do I?
00:06:58.079 --> 00:06:59.040
They're also a lawyer?
00:06:59.199 --> 00:07:00.720
Is that did I hear that?
00:07:00.879 --> 00:07:01.279
You know?
00:07:01.920 --> 00:07:06.720
Like the uh influencer you're getting medical advice from, is that a person, a doctor?
00:07:07.519 --> 00:07:08.720
Or I mean I don't have to.
00:07:08.959 --> 00:07:10.000
They're selling me supplements.
00:07:10.079 --> 00:07:10.240
Yeah.
00:07:10.720 --> 00:07:11.600
Apparently, you know.
00:07:11.839 --> 00:07:21.600
Uh no, I I I uh don't mean to take shots at very well-educated influencers and people that are helping people in their lives build wealth.
00:07:21.680 --> 00:07:22.399
I get it.
00:07:22.639 --> 00:07:27.040
It's just this is a lane where you want to have the right driver.
00:07:27.120 --> 00:07:29.199
You know, like get in, we're in this lane.
00:07:29.360 --> 00:07:31.759
We will make sure that the LLC is set up properly.
00:07:31.839 --> 00:07:34.240
You get a comfort letter, the do's and don'ts.
00:07:34.560 --> 00:07:43.199
We'd love you to buy a copy of Matt's book, the architect of how this works, so that you at night, when you're like, hey, I what was the what I got?
00:07:43.279 --> 00:07:45.920
I do I can't find that podcast where they were talking about this.
00:07:46.079 --> 00:07:47.360
Uh no, no, what do I do?
00:07:47.519 --> 00:07:49.199
You can just pull that book off the nightstand.
00:07:49.439 --> 00:07:50.800
Typically, you read it to fall asleep.
00:07:50.879 --> 00:07:53.199
But in this instance, you might want to get some info out of it.
00:07:53.759 --> 00:07:55.199
Was it did I really say that out loud?
00:07:55.360 --> 00:07:56.000
I'm sorry about that.
00:07:56.319 --> 00:07:59.279
It's cheaper than all those prescription drugs when people fall asleep.
00:07:59.439 --> 00:08:02.399
It's only 20 bucks, and and you can use it over and over again.
00:08:02.560 --> 00:08:03.680
Yeah, 1995 actually.
00:08:03.759 --> 00:08:03.920
Right.
00:08:04.160 --> 00:08:05.120
You don't even need a refill.
00:08:05.199 --> 00:08:05.519
Yeah.
00:08:05.759 --> 00:08:06.240
You know?
00:08:07.360 --> 00:08:08.079
I love it.
00:08:08.319 --> 00:08:12.240
So, yeah, there, no, but the the information is there to always back it up.
00:08:12.319 --> 00:08:12.959
Matt, I love Matt.
00:08:13.199 --> 00:08:14.800
How many footnotes do you have in your book?
00:08:15.120 --> 00:08:21.439
There's over a hundred citations to like tax court cases, internal revenue code, IRS guidance, you know.
00:08:21.519 --> 00:08:29.839
So, and that was what this industry was missing is the industry, the self-directed IR industry was missing a like authoritative guide on what you can and can't do.
00:08:29.920 --> 00:08:38.639
And us as lawyers, I mean, that's why I wrote the book because I was like struggling to like tell my clients what they could or couldn't do because no one took the time to research it and document it and check all the cases.
00:08:38.799 --> 00:08:39.519
So that's what we did.
00:08:39.679 --> 00:08:39.840
Yep.
00:08:40.000 --> 00:08:44.000
So let me tell you some of the things you can do with this, and then we'll get to the a few, literally.
00:08:44.080 --> 00:08:45.600
It's just a few of the things you can't.
00:08:45.759 --> 00:08:48.000
So here's some of the things I love that you can do with this.
00:08:48.159 --> 00:08:54.799
Once you set up the LLC funded with your IRA, HSA, whatever the hell you want to fund it with, a self-directed account here.
00:08:55.039 --> 00:08:57.519
And we and we'll go through these steps here too.
00:08:57.600 --> 00:08:58.799
I want to go through the steps.
00:08:58.960 --> 00:09:10.240
But once you get that account set up and that LLC rolling, you can again make those decisions on the fly, buying and selling, paying bills, paying vendors.
00:09:10.720 --> 00:09:16.240
Um you can put more money into the LLC through the IRA.
00:09:16.320 --> 00:09:16.879
I love that.
00:09:17.039 --> 00:09:18.720
Additional contributions are okay.
00:09:18.879 --> 00:09:20.240
And you were gonna say, what else could you do?
00:09:20.320 --> 00:09:26.240
Yeah, I mean, why was you saying leasing, managing, like going to the property, making sure a contractor fix it properly?
00:09:26.399 --> 00:09:27.759
We're not working on the property.
00:09:27.919 --> 00:09:28.879
You still can't work on it.
00:09:28.960 --> 00:09:30.559
You still got the primitive transaction rules.
00:09:30.639 --> 00:09:33.360
You got other, you know, other podcast episodes on that.
00:09:33.519 --> 00:09:36.879
The primitive transaction rules apply to your IRLC just the same.
00:09:36.960 --> 00:09:42.720
Yeah, but you're in this management and administrative function where you can just take care of stuff because you have the bank account.
00:09:42.799 --> 00:09:44.799
Oh, you can execute the transactions, yeah.
00:09:44.879 --> 00:09:47.200
And you don't have to set up a new LLC when you're done.
00:09:47.279 --> 00:09:53.600
You have to sell the, I'm gonna sell this property in Illinois, and then I can sit back and go, hmm, I'm gonna buy another property.
00:09:53.759 --> 00:09:55.600
I take the LLC and go buy it.
00:09:55.759 --> 00:10:14.240
At the end of the day, when I'm like done with the whole projects, uh, whatever number of projects I do, and the money's back in the bank account for the LLC, I can say, All right, directed IRA, I'm ready to close down this LLC, send all the money back to my IRA and start taking distributions tax-free if it's in a Roth, whatever.
00:10:14.399 --> 00:10:20.000
And uh, so you you you you don't have to do a new LLC if you change the assets in the LLC.
00:10:20.080 --> 00:10:20.159
Yeah.
00:10:20.320 --> 00:10:20.799
Just keep rolling.
00:10:20.960 --> 00:10:25.360
Yeah, and the LLC can own multiple assets, it could own multiple properties, it could do private lending.
00:10:25.440 --> 00:10:28.960
There's a lot of different things you can do with the IRLC.
00:10:29.039 --> 00:10:30.480
Like that's what mine does, actually.
00:10:30.720 --> 00:10:33.919
And I want to major make another major point that people don't talk about.
00:10:34.000 --> 00:10:36.000
It's really not talked about that often.
00:10:36.320 --> 00:10:45.919
Let's say you were the manager of a rental property you owned, and one of the tenants fell down, got hurt.
00:10:46.159 --> 00:10:50.799
If you owned it personally with no LLC at all, you know you're on the hook.
00:10:51.120 --> 00:10:55.120
What if you were the managing that project without an LLC as well?
00:10:55.759 --> 00:10:57.840
You'd be personally on the hook.
00:10:58.080 --> 00:11:08.080
And so when directed IRA is on title and you're making all those decisions as the manager of that property, yeah, I really feel you're gonna have some personal exposure.
00:11:08.159 --> 00:11:10.399
You're the one making the decisions on this.
00:11:10.639 --> 00:11:14.159
But what's the whole reason for an LLC in the first place?
00:11:14.399 --> 00:11:20.559
To protect the manager from their decision making and to protect the owner from something that could go wrong.
00:11:20.720 --> 00:11:28.720
So when you set up this IRA LLC, you're adding this layer of protection for you personally because you're the one making the call on this.
00:11:29.600 --> 00:11:38.240
So as long as you're making reasonable, not willfully negligent or reckless decisions, you're gonna be okay.
00:11:38.399 --> 00:11:39.919
That's what the purpose of the LLC is.
00:11:40.080 --> 00:11:41.919
And I don't think they talk about the asset protection.
00:11:42.000 --> 00:11:43.120
We just talk about the easiness.
00:11:43.360 --> 00:11:54.399
Yeah, yeah, definitely a huge benefit to that and making sure that all the other things you're trying to build in your life, you've got some, you've limited that risk to just that property or whatever's occurring in that LLC.
00:11:54.559 --> 00:11:57.519
So um now, a couple other things I want to make sure I understand.
00:11:57.840 --> 00:12:04.240
Because your IRA owns this LLC 100%, this is a single member LLC or sometimes called a disregarded entity.
00:12:04.320 --> 00:12:06.480
There's no tax return going to the IRS.
00:12:06.559 --> 00:12:08.960
Now you got to keep that LLC active with the state.
00:12:09.120 --> 00:12:13.519
Most states you might have an annual fee of 50 bucks or 100 bucks or 25 bucks.
00:12:13.679 --> 00:12:15.600
Arizona's zero, by the way.
00:12:15.759 --> 00:12:19.519
Yes, California has an$800 annual fee, minimum fee, 10 tax.
00:12:19.919 --> 00:12:21.759
So that varies state to state.
00:12:21.919 --> 00:12:27.360
Um, and the second thing is um you're never paying yourself from the LLC.
00:12:27.519 --> 00:12:30.480
Now, in the IRLC documents, you're gonna have an operating agreement.
00:12:30.559 --> 00:12:47.039
And every IRA custodian that does these is gonna look at the operating agreement and make sure that this operating agreement was set up properly, that it contains provisions for IRAs, that it's gonna have certain restrictions of what you can and can't do with it, because this is not an LLC operating agreement or structure that you're gonna own.
00:12:47.200 --> 00:12:48.240
Your IRA owns it.
00:12:48.320 --> 00:12:51.440
And the IRA is the custody, the IRA custodian is gonna have to approve this.
00:12:51.600 --> 00:12:53.120
So a couple things that'll be in there.
00:12:53.279 --> 00:13:00.879
One is you cannot pay yourself or another disqualified person, your spouse, your kids, your parents, a manager or take a salary.
00:13:01.039 --> 00:13:02.240
Now there was a guy who did that.
00:13:02.320 --> 00:13:06.240
His name was Ellis, and there's a tax court case called Ellis versus Commissioner.
00:13:06.320 --> 00:13:09.840
He was paying himself 30 grand a year to be the manager of his IRA LLC.
00:13:10.000 --> 00:13:10.879
He got audited.
00:13:11.039 --> 00:13:13.039
The IRS said that's a prohibit transaction.
00:13:13.200 --> 00:13:16.320
He fought it, he went to tax court, he lost, he appealed, he lost.
00:13:16.480 --> 00:13:19.039
It's clear, and we've been saying it even way before that case.
00:13:19.200 --> 00:13:22.559
Don't take money out of it and pay yourself a salary or any type of compensation.
00:13:22.720 --> 00:13:28.000
We're trying to build up the LLC, grow the value of the LLC, which is the asset your IRA owns.
00:13:28.080 --> 00:13:29.200
That's building your IRA.
00:13:29.279 --> 00:13:31.519
Don't try to take money from it personally, okay?
00:13:31.679 --> 00:13:33.279
That causes a prohibited transaction.
00:13:33.440 --> 00:13:40.399
Yeah, and some of you, some people that don't understand a case like LS will say, Well, the LLC was a problem.
00:13:40.559 --> 00:13:42.639
No, the LLC was not the problem.
00:13:42.799 --> 00:13:42.960
Yeah.
00:13:43.120 --> 00:13:45.279
And the problem wasn't that he couldn't be the manager.
00:13:45.440 --> 00:13:47.519
He just said, Well, I want to get paid for doing this.
00:13:47.679 --> 00:13:57.519
Well, now, some what the IRS is trying to prevent someone from doing this eking, you know, pulling out money out of their IRA through kind of a backdoor strategy.
00:13:57.679 --> 00:13:59.039
Like, well, I'll just be the manager.
00:13:59.200 --> 00:14:00.240
Then I can pay myself.
00:14:00.320 --> 00:14:02.080
That's how I'll get money out of the IRA.
00:14:02.159 --> 00:14:05.679
But the reality is they're actually hurting themselves financially.
00:14:05.919 --> 00:14:10.080
You want that IRA, hopefully a Roth IRA, to be snowballing.
00:14:10.240 --> 00:14:12.000
Why take out money along the way?
00:14:12.159 --> 00:14:13.679
Let it grow, build it.
00:14:14.960 --> 00:14:19.519
And especially a Roth IRA, you're you're gonna be able to pull that out tax-free anyway.
00:14:19.600 --> 00:14:20.720
Now you paid yourself.
00:14:20.879 --> 00:14:26.720
So now you've created income for yourself, and you think you're doing the right thing, and you're actually doing the worst thing.
00:14:26.879 --> 00:14:33.200
And so um just when you set this up, you'll you'll we're gonna walk you through those rules.
00:14:33.360 --> 00:14:34.399
That's one of the big ones.
00:14:34.559 --> 00:14:40.159
No sweat equity, don't pay yourself, run the show, go make some freaking money.
00:14:40.320 --> 00:14:41.759
Have it, it's it's so cool.
00:14:41.919 --> 00:14:42.799
Yeah, go do deals.
00:14:42.879 --> 00:14:46.320
And a lot of times it's easier to just to like do a deal, do it in the name of the LLC.
00:14:46.399 --> 00:14:48.159
Title companies understand it better.
00:14:48.399 --> 00:14:53.360
Other people in the business space or investment space just understand, oh, this is XYZ holdings LLC.
00:14:53.440 --> 00:14:56.159
This is, you know, they don't know that it's owned by your IRA.
00:14:56.240 --> 00:14:58.320
You're the manager of it going and doing deals.
00:14:58.480 --> 00:15:03.840
And so the goal is to go use that LLC and deploy it to investments, right?
00:15:03.919 --> 00:15:07.679
I've used my own IR LLC to own a single family rental.
00:15:07.840 --> 00:15:12.000
I've used it to do probably 10 to 15 private money loans.
00:15:12.159 --> 00:15:19.360
I've used it to own a private company in shares in a pr in a private company, or I just invested directly from the LLC at the LLC level.
00:15:19.440 --> 00:15:23.360
And so you can do all these different investments at the LLC level.
00:15:23.440 --> 00:15:30.960
Now remember, if I ever want to take money from this, I'm not gonna take a salary, I'm not gonna take a distribution from the LLC.
00:15:31.200 --> 00:15:32.720
I don't own the LLC.
00:15:32.879 --> 00:15:33.919
The IRA does.
00:15:34.000 --> 00:15:43.600
So I'm gonna send money from the LLC back to directed IRA that gets deposited my IRA account as a return on investment, and then I can take a distribution from the IRA.
00:15:43.759 --> 00:15:48.159
So if you're 59 and a half or later and you want to start living off of this, you can do that.
00:15:48.399 --> 00:15:49.519
We have many clients that do.
00:15:49.679 --> 00:15:54.000
They're just gonna send the money from the LLC back to the IRA, and then you take distributions from the IRA.
00:15:54.240 --> 00:15:54.480
All right.
00:15:54.559 --> 00:15:58.080
Now I'm gonna go into a very dangerous space.
00:15:58.240 --> 00:16:10.000
I'm gonna try to give the steps here quickly and easily sharing this platform with the godfather, the goat of this process who wrote the book on this.
00:16:10.080 --> 00:16:10.240
Yeah.
00:16:10.399 --> 00:16:13.519
So I'm gonna, I'm it's a dangerous space, but I I'm gonna take on the challenge.
00:16:13.840 --> 00:16:14.080
May I?
00:16:14.159 --> 00:16:14.240
Okay.
00:16:14.559 --> 00:16:14.960
I gotta try.
00:16:15.120 --> 00:16:18.320
And just can I just say this just because we've been saying how great I am to him?
00:16:18.639 --> 00:16:19.679
I mean, Mark Mark J.
00:16:19.840 --> 00:16:21.440
Coller is pretty freaking awesome too.
00:16:21.679 --> 00:16:23.440
Um, but let me just say this also.
00:16:23.600 --> 00:16:25.600
I'm pretty average outside of this.
00:16:25.840 --> 00:16:27.679
I'm good at this, okay?
00:16:28.000 --> 00:16:29.840
Outside of this, okay.
00:16:30.080 --> 00:16:30.399
All right.
00:16:30.879 --> 00:16:31.759
Well, you're so humble.
00:16:31.840 --> 00:16:32.399
I appreciate that.
00:16:32.480 --> 00:16:35.120
No, we're we all have our lanes, that's for sure.
00:16:35.360 --> 00:16:38.879
All right, so you didn't need to say all that, but you are a humble guy.
00:16:39.039 --> 00:16:39.600
I really are.
00:16:39.759 --> 00:16:43.279
Okay, now I'm gonna go through these steps and I'm gonna try to nail it here.
00:16:43.600 --> 00:16:46.000
If some of you are like, oh my gosh, I love this.
00:16:46.159 --> 00:16:56.159
I want to do this, I've got a project in mind, could be real estate, could be a crypto mine, you're gonna set up this IRA LLC to do all sorts of things and invest in whatever you know best.
00:16:56.399 --> 00:17:05.440
Number one, you're going to open a self-directed account, and you're gonna open it in the uh the type of account based on are you rolling money over from somewhere else?
00:17:05.599 --> 00:17:08.720
Is it gonna be a traditional IRA, a Roth IRA, whatever?
00:17:08.799 --> 00:17:11.119
And we've got podcasts on how to open an account.
00:17:11.200 --> 00:17:12.799
So, number one, open an account.
00:17:13.279 --> 00:17:14.960
Number two, you got to fund that account.
00:17:15.039 --> 00:17:19.680
I got to get some money in there from a new contribution or rollover or whatever.
00:17:19.759 --> 00:17:21.519
I'm gonna fund that account.
00:17:21.839 --> 00:17:26.880
Then third, I'm somewhere along there, you've decided this is the route you want to take.
00:17:27.200 --> 00:17:29.680
You want to start to open the LLC.
00:17:29.920 --> 00:17:32.079
Have that consult with the uh the law firm.
00:17:32.160 --> 00:17:35.759
You can get on the website with directed IRA, they'll help connect you.
00:17:35.839 --> 00:17:42.079
You can write in the show notes, you can go straight to KKOS lawyers and let the lawyer know I want to set up this IRA LLC.
00:17:42.160 --> 00:17:43.839
Let's get that ball rolling.
00:17:44.079 --> 00:17:49.119
Along the way, simultaneously, you'll decide on how much you want to fund this LLC.
00:17:49.279 --> 00:17:53.519
You want to put in 50 grand, 100 grand, how much you want to put in there, whatever it is.
00:17:53.680 --> 00:17:57.920
You're gonna decide that amount, and then you will fill out a direction of investment.
00:17:58.000 --> 00:18:03.759
I'm gonna tell my IRA people fund my LLC with X number of dollars.
00:18:03.920 --> 00:18:05.200
My LLC is getting set up.
00:18:05.279 --> 00:18:06.880
Here's how much I want to do.
00:18:07.119 --> 00:18:07.920
Send me the form.
00:18:08.000 --> 00:18:16.319
You can go right onto the dashboard at directed IRA and download the form, fill it out, and they'll say, okay, what's the account number for the bank account of this LLC?
00:18:16.559 --> 00:18:18.799
Yeah, which which, by the way, we set up for you.
00:18:18.960 --> 00:18:22.000
So we have this all integrated into one and seamless process.
00:18:22.240 --> 00:18:22.640
Yes, yes.
00:18:23.039 --> 00:18:29.039
I'm just breaking down the steps literally, you're like, yeah, these are the pieces that can are kind of happening behind the scenes.
00:18:29.200 --> 00:18:41.039
But yeah, I mean, you're opening the account, giving the intake information from the LLC, which is getting going over to KQS lawyers to set that up, which includes an attorney console and all this stuff.
00:18:41.119 --> 00:18:43.440
You know, we have malpractice insurance, all that.
00:18:43.759 --> 00:18:54.960
And um, it includes the authorization to that says, hey, this account that I'm setting up, I authorize it to be invested into XYZ Investments LLC, this new LLC I want you to set up.
00:18:55.119 --> 00:19:01.680
And then we automatically set up a bank account for you at Titan Bank, who's who we work with and they understand what IRL LCs are.
00:19:01.759 --> 00:19:10.720
If you go to your regular bank or credit union, big bank, community bank, and you're like, hey, I want to set up an IRLC checking account, you're gonna be there for like a long time.
00:19:10.880 --> 00:19:17.599
So make sure you're using a bank, and we have one that we just integrate in the process, but if you're not using them, make sure you use one that knows what the heck this is.
00:19:17.759 --> 00:19:18.079
Oh, yeah.
00:19:18.160 --> 00:19:19.279
And I want to say this too.
00:19:19.359 --> 00:19:26.000
The team and Matt's uh vision to make this easy for you is so critical on this point.
00:19:26.079 --> 00:19:28.720
Let's say you're buying a rental property in Georgia.
00:19:28.960 --> 00:19:35.119
You love Atlanta space, you're gonna go buy a rental property in Georgia, you've got a connection there, you're like, hey, I can fund this IRA LLC and do it.
00:19:35.279 --> 00:19:44.160
You're gonna need a Georgia LLC, a bank account set up in Georgia, or one of these national banks like Titan, which we dial in for you.
00:19:44.480 --> 00:19:47.680
That whole process used to put people into catharsis.
00:19:47.839 --> 00:19:53.200
You know, they're like, Well, like I got this LLC, now I gotta fly to Atlanta to open a bank account.
00:19:53.279 --> 00:19:58.559
I gotta go down to Wells Fargo, go through that nightmare in my local Wells Fargo, they're gonna send over a signature card.
00:19:58.960 --> 00:20:01.519
All that disaster alleviated.
00:20:01.839 --> 00:20:03.440
Titan Bank makes it seamless.
00:20:03.599 --> 00:20:14.720
New LLC set up properly for a Georgia investment with a Georgia property, and you're off to the races with this seamless process being made.
00:20:15.200 --> 00:20:27.200
At the end of the day, that once that money is funded into the LLC, you've got an online bank account with Titan, you've got a legit LLC in Georgia, in that example, and the money's there.
00:20:27.599 --> 00:20:37.039
And now this relationship you have in Georgia with your realtor, uh, some sort of real estate, or if it's a real estate deal, you can say, Yeah, I'm ready to go.
00:20:37.119 --> 00:20:39.519
I'm ready to write a check, quote unquote.
00:20:39.839 --> 00:20:41.839
And you're off to the races.
00:20:41.920 --> 00:20:42.000
Yeah.
00:20:42.319 --> 00:20:42.720
How do I do?
00:20:42.799 --> 00:20:43.599
Are those steps okay?
00:20:43.839 --> 00:20:44.240
Yeah, yeah.
00:20:44.319 --> 00:20:50.240
And I think um the the couple pieces here, just so you can keep everything on track.
00:20:50.480 --> 00:20:52.240
You can really get this done within two weeks.
00:20:52.319 --> 00:20:59.680
Now, I would say on average, this is more like a three-week process, um, because most clients are like, they they kind of stumble along a couple of steps.
00:20:59.759 --> 00:21:01.440
But if you're like, I want to get this done, let's go.
00:21:01.519 --> 00:21:04.000
I got a property I want to close on, you know, in 30 days.
00:21:04.160 --> 00:21:05.680
All right, easy, we can get that done.
00:21:05.759 --> 00:21:06.079
Okay.
00:21:06.319 --> 00:21:07.279
You go you go online.
00:21:07.359 --> 00:21:09.680
We have an exact IRLC account set up.
00:21:09.759 --> 00:21:11.839
You're gonna choose the account type you want to do.
00:21:12.000 --> 00:21:14.000
You're gonna enter in your information for the account.
00:21:14.160 --> 00:21:16.480
You know, who's your who gets your account when you die, you know.
00:21:16.640 --> 00:21:18.079
And we've got chat support help.
00:21:18.240 --> 00:21:18.640
Call us.
00:21:18.720 --> 00:21:20.960
We'll we'll stay on the phone with you through the whole damn thing.
00:21:21.200 --> 00:21:23.440
Yeah, our team will like do the application with you online.
00:21:23.519 --> 00:21:25.920
You're gonna input the name, what you want for the LLC.
00:21:26.000 --> 00:21:27.440
If you're like, I'm not sure on this or something.
00:21:27.519 --> 00:21:28.000
It's okay.
00:21:28.079 --> 00:21:30.319
You'll talk to an attorney about it in the next few days.
00:21:30.480 --> 00:21:35.680
You'll have an appointment with an actual, a real attorney going over your questions to get that LLC going.
00:21:35.839 --> 00:21:38.559
Now we've got to file that LLC with the state.
00:21:38.799 --> 00:21:44.559
Meanwhile, what's gonna happen is we open your account at directed IRA, the law firm's getting going on the LLC.
00:21:44.640 --> 00:21:48.319
You want to sign those documents so we can get them filed to the state quickly.
00:21:48.480 --> 00:21:51.359
Some states are, you know, we'll get it back within 24 hours.
00:21:51.519 --> 00:21:53.680
Some states are gonna sit on it for five days, okay?
00:21:53.839 --> 00:21:54.400
Business days.
00:21:54.480 --> 00:21:55.440
So there's always variation.
00:21:55.519 --> 00:21:57.519
We've got 50 different outcomes there.
00:21:57.839 --> 00:22:05.599
But while that LLC is going, Getting attorneys, getting the documents done, filing, waiting for the state, you sign it, yada yada.
00:22:05.920 --> 00:22:07.759
Is we want to get your account funded.
00:22:08.000 --> 00:22:12.799
You might have money over at Fidelity or at your local credit union or an old employer 401k plan.
00:22:12.960 --> 00:22:17.920
Well, we got to get that over here at directed IRA, because then we're going to invest it into this new LLC bank account.
00:22:18.079 --> 00:22:21.599
So in the at the same time, we want to get funding the account.
00:22:21.680 --> 00:22:23.359
And we have an entire team, that's all they do.
00:22:23.440 --> 00:22:24.559
It's called the funding team.
00:22:24.720 --> 00:22:25.839
And they will help you get your own.
00:22:26.000 --> 00:22:27.200
Hold on, they're called the funding team?
00:22:27.359 --> 00:22:27.920
The funding team.
00:22:28.400 --> 00:22:28.559
Okay.
00:22:28.720 --> 00:22:29.680
That's so complicated.
00:22:30.000 --> 00:22:30.240
Yeah.
00:22:30.319 --> 00:22:30.640
Yeah.
00:22:30.880 --> 00:22:33.519
And so they're going to get, but that's their job.
00:22:33.680 --> 00:22:34.559
That's all they do.
00:22:35.599 --> 00:22:36.720
And they know how to do this.
00:22:36.880 --> 00:22:40.000
This, this, you know, TD Ameritrade and Fidelity works.
00:22:40.079 --> 00:22:43.119
We'll accept an e-signature request to transfer money over.
00:22:43.279 --> 00:22:44.319
This provider doesn't.
00:22:44.400 --> 00:22:47.440
This one we have to do a what's called a uh medallion stamp.
00:22:47.519 --> 00:22:48.319
And we have all that stuff.
00:22:48.400 --> 00:22:48.960
We'll get it done.
00:22:49.119 --> 00:22:53.119
But what I'm saying here is like, don't do like one thing at a time.
00:22:53.200 --> 00:22:57.599
If you want to do the IRL C and you got a deal you're ready to go on, just get all the pieces rolling.
00:22:57.680 --> 00:22:58.799
Our team's here ready to help.
00:22:59.119 --> 00:23:08.240
And and within two weeks, you could really have an account set up, funded, LLC bank account, LLC set up, because we have it all coordinated here for all the parts.
00:23:08.480 --> 00:23:12.799
And I feel I need to say this too because we've you kind of use the real estate as an example.
00:23:12.880 --> 00:23:16.880
And that's probably the most common asset people are using the single member LLC for.
00:23:17.119 --> 00:23:24.559
But if you're a regular listener here, you know I set up a uh LLC just to own cattle.
00:23:24.720 --> 00:23:27.359
It was called the Kohler Dutton Livestock LLC.
00:23:27.519 --> 00:23:28.559
Remember that back in the day?
00:23:28.880 --> 00:23:36.640
Um, single member LLC in Idaho, and I bought six cows from a rancher with that LLC account.
00:23:36.799 --> 00:23:42.559
We kept them for about nine months to a year, fed them, blah, blah, blah, and sold them at the auction a year later.
00:23:42.640 --> 00:23:44.720
I made about 18% on the deal.
00:23:44.960 --> 00:23:52.400
Um, but the IRLC checkbook is what allowed me to pay for the cows, pay for the hay, pay the rancher.
00:23:52.480 --> 00:23:55.920
And then when the cows were sold, I went back into that LLC bank account.
00:23:56.079 --> 00:23:59.279
And then I put it back into my HSA and did a different deal.
00:23:59.519 --> 00:24:05.359
Another example is I have a crypto mine in one of my IRA LLCs.
00:24:05.519 --> 00:24:19.759
So for those of you that are into crypto, you may say, Oh, I want to fund some wallets, uh, do some things outside of the Gemini platform, which we have a crypto IRA, crypto HSA, crypto Roth, all of those.
00:24:19.839 --> 00:24:27.440
But if you're a little more creative in that space and you want to do some deals like crypto mining and you need an LLC for it, this is the process.
00:24:27.599 --> 00:24:31.599
Two weeks later, the money is in that LLC, and you can go off to the races.
00:24:31.759 --> 00:24:35.920
We have clients speaking of races, bought a racehorse with his IRA LLC.
00:24:36.079 --> 00:24:39.680
Uh, so again, you can do all of that in that LLC after it.
00:24:39.759 --> 00:24:41.359
Now, could we say cost?
00:24:41.519 --> 00:24:43.200
Like what should we want to give them a ballpark?
00:24:43.279 --> 00:24:45.359
Yeah,$1,200 for the IR LC.
00:24:45.440 --> 00:24:46.799
That's what KQS lawyers charges.
00:24:46.960 --> 00:24:47.599
Again, you have a lower.
00:24:47.759 --> 00:24:48.319
Such a good deal.
00:24:48.480 --> 00:24:49.039
Oh my gosh.
00:24:49.200 --> 00:24:52.880
Yeah, and then the self-directed IRA at directed IRA is$495.
00:24:53.039 --> 00:24:56.400
Then you have a$50 fee to make the investment into the LLC.
00:24:56.559 --> 00:24:59.920
But then from there, really the LLC is doing all the transactions.
00:25:00.000 --> 00:25:03.599
You still have your IRA account, you have an annual fee for the self-directed IRA.
00:25:03.680 --> 00:25:09.039
But otherwise, there's no other fees at directed because all the transactions are now happening at the LLC level.
00:25:09.200 --> 00:25:10.640
And you could own multiple assets.
00:25:10.799 --> 00:25:13.359
Many IRA custodians charge you per asset.
00:25:13.599 --> 00:25:15.279
We don't charge you on your first three.
00:25:15.359 --> 00:25:17.440
We charge you once you have four or more assets.
00:25:17.599 --> 00:25:20.799
But you could have, we have some clients that'll have like 50 different notes.
00:25:20.960 --> 00:25:29.440
They're private lenders that they have, they'll own 10 or 12 different properties in an IRA LLC and still just one flat 495.
00:25:29.680 --> 00:25:36.640
And I do want to say when you set up that IRA LLC, let's say the Georgia example, there'll be a Georgia state filing fee.
00:25:36.799 --> 00:25:37.359
Keep that in mind.
00:25:37.599 --> 00:25:38.000
That's true.
00:25:38.240 --> 00:25:48.480
And um, we'll want you to get that LLC on a company maintenance plan so that every year, you know, it's dialed in at Georgia, the filing fee and is paid and all that.
00:25:48.640 --> 00:25:50.240
That's a couple hundred bucks a year.
00:25:50.400 --> 00:25:51.759
Um, but I can't foresee anything.
00:25:51.920 --> 00:25:52.799
Now, who can pay for it?
00:25:52.960 --> 00:25:54.000
A lot of people ask that.
00:25:54.079 --> 00:25:58.559
So when I get going, I'm like, okay, guys, do I have to get the money out of Fidelity to do this?
00:25:58.880 --> 00:26:00.480
Well, how's the payment process work?
00:26:00.640 --> 00:26:02.319
Yeah, so you have two options.
00:26:02.480 --> 00:26:04.400
You can either have the IRA pay for it.
00:26:04.480 --> 00:26:08.400
And generally, what I say, if you have a traditional IRA, just let the IRA pay for it.
00:26:08.559 --> 00:26:11.440
You're gonna have to take a distribution of that money anyways and pay taxes.
00:26:11.519 --> 00:26:13.279
So this is an expense for your IRA.
00:26:13.359 --> 00:26:16.319
This LLC is being set up to benefit your IRA.
00:26:16.480 --> 00:26:20.319
So we can just invoice your um IRA at directed IRA.
00:26:20.400 --> 00:26:22.559
We didn't invoice that from our law firm at KQS Lawyers.
00:26:22.799 --> 00:26:25.039
Your IRA could pay the LLC setup fees.
00:26:25.200 --> 00:26:28.000
You could also have your IRA account fees paid by your IRA directly.
00:26:28.079 --> 00:26:30.240
Again, if you're a traditional IRA, you might want to do that.
00:26:30.319 --> 00:26:34.480
Now, a lot of our Roth clients don't like that because they're like, Matt, this is tax-free money.
00:26:34.559 --> 00:26:35.599
I want to let that compound.
00:26:35.680 --> 00:26:37.839
I don't want my fees to eat into this.
00:26:38.079 --> 00:26:41.599
Well, what you can do, and you can do this again, traditional Roth, you can do whatever you want.
00:26:41.680 --> 00:26:43.279
I'm just saying the strategic way to do it.
00:26:43.440 --> 00:26:50.880
For you Roth people, because we want every penny to be reinvested to compound and grow and tax-free dollars, I don't want to invoice your account.
00:26:51.039 --> 00:26:52.559
You can just pay with a credit card.
00:26:52.720 --> 00:26:59.200
You can personally pay your account fees any illegal fees for your IRA, which would include paying the law firm for the LLC.
00:26:59.279 --> 00:27:01.759
That's exempt from the primitive transaction rules.
00:27:01.839 --> 00:27:06.000
So you can personally pay those fees with your personal credit card if you wanted.
00:27:06.079 --> 00:27:09.680
Um, it's not deductible because it's not on a personal investment.
00:27:09.759 --> 00:27:18.400
It's for your IRA, but you could personally incur those expenses for your account fees and again for um the the fee to the law firm to set up the IRLC.
00:27:18.559 --> 00:27:21.680
And some of you may have thought, well, hold on, I thought investment expenses were a write-off.
00:27:21.920 --> 00:27:31.680
They used to be on the Schedule A before the Tax Cuts and Jobs Act, um, quote unquote simplified Schedule A and increased the standard deduction.
00:27:31.759 --> 00:27:33.119
That's where the the trade-off was.
00:27:33.279 --> 00:27:38.880
But yeah, you that uh it's you're allowed to pay for it personally, which I think is the more strategic thing to do.
00:27:38.960 --> 00:27:43.680
So you can compound that money in the retirement account, um, but it's not a write-off.
00:27:44.000 --> 00:27:48.240
Um, gosh, this this show turned out a lot better than I I thought.
00:27:48.319 --> 00:27:53.200
I got because I think this these steps, why, the benefits, what to look out for.
00:27:53.359 --> 00:27:54.640
People, you are ready to roll.
00:27:54.720 --> 00:28:01.599
Do you know you know 99% more than the average, or you know more than the 99% of accountants out there?
00:28:01.759 --> 00:28:07.680
I teach CPAs, enrolled agents, accountants, tax strategy in our Main Street Tax Pro program.
00:28:07.920 --> 00:28:10.559
If you're any of you're interested, get to partjkohler.com for that.
00:28:10.720 --> 00:28:12.160
If you're an accounting professional.
00:28:12.400 --> 00:28:17.119
But when they show up to get training, 99 out of 100 do not even know this.
00:28:17.200 --> 00:28:20.400
They're like, oh my gosh, I wish I would have known this.
00:28:20.480 --> 00:28:22.480
I could have been helping clients do this for years.
00:28:22.640 --> 00:28:32.240
And it just opens this whole new world to help clients that are really dissatisfied with the rate of return they're getting in their brokerage account for their 401k or IRA or whatever.
00:28:32.319 --> 00:28:33.920
So you're here because you know this.
00:28:34.079 --> 00:28:36.160
And uh, we just want to know we've got you.
00:28:36.240 --> 00:28:37.200
We understand the process.
00:28:37.359 --> 00:28:38.720
We've tried to simplify it.
00:28:38.960 --> 00:28:40.880
We love to see you succeed in this.
00:28:41.119 --> 00:28:45.039
We have our two workshops a year where you can get involved with the community.
00:28:45.200 --> 00:28:47.119
Our next one is in Orange County.
00:28:47.279 --> 00:28:53.759
Get it on your calendar, get your flights booked, and we've got our alt asset summit in Orange County.
00:28:53.839 --> 00:28:57.359
What October 22nd, 23rd, live and in person.
00:28:57.440 --> 00:28:59.200
We just had our self-directed IRA summit.
00:28:59.279 --> 00:28:59.920
You've probably heard about.
00:29:00.000 --> 00:29:04.480
We had over 200, 2,000 people registered for that, over a thousand people online.
00:29:04.880 --> 00:29:05.839
Biggest ever in the space.
00:29:06.000 --> 00:29:06.240
Yeah.
00:29:06.400 --> 00:29:07.200
And it was awesome.
00:29:07.279 --> 00:29:08.880
So, but we want to see you live.
00:29:09.039 --> 00:29:10.480
So don't delay, get your ticket.
